  • Installation, setup services, or fixes specific to Your web hosting or server environment that deviates from documented requirements.

  • Customizations that extend default application features.

3. Subscription, Fees, and Termination

A. Fees and Payment

You agree to pay all subscription fees, service fees, and other charges for the Service as specified on our website or invoice. All fees are non-refundable unless explicitly stated otherwise in writing.

B. Lifetime Access Definition

Where the Service is sold with “Lifetime Access” or “Lifetime License,” this means access to the Service for the period that the Service/Product is actively live and maintained by GrowthToolz. This commitment does not guarantee the Service will be maintained indefinitely and shall terminate if GrowthToolz ceases to operate the Service.

C. Renewals

Subscriptions are generally set to automatically renew. You authorize Us to charge the applicable subscription fee to your designated payment method upon each renewal unless you cancel your subscription before the renewal date.

D. No Refunds on Digital Download

No refunds will be issued once the item or service access has been downloaded, provisioned, or activated under any circumstances, in line with our digital goods policy.

E. Termination by You

You may cancel your account at any time. Cancellation will take effect at the end of your current paid subscription period, and you will not be charged again.

F. Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any of these Terms, fail to pay fees when due, or engage in any activity that may harm the Service or other users.

4. Intellectual Property and Client Data

A. Ownership

All intellectual property rights (including copyright, trademarks, and patents) in the Service, software, and content provided by GrowthToolz.net belong exclusively to GrowthToolz and/or its licensors. We do not warrant that the Service will meet your requirements, operate without interruption, achieve any intended results, or be compatible with any specific third-party software or hosting environment not explicitly listed in our requirements.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROWTHTOOLZ, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

SPECIFICALLY, YOU ACKNOWLEDGE AND AGREE THAT GROWTHTOOLZ SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY:

• YOUR FAILURE TO BACK UP YOUR DATA.

• SERVICE DOWNTIME, ERRORS, OR LACK OF AVAILABILITY, regardless of the duration.

• THIRD-PARTY ACTIONS, including cyberattacks or hosting failures.

• DAMAGES ARISING FROM YOUR OWN CUSTOMIZATION OR MISUSE OF THE SERVICE.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless GrowthToolz and its affiliates, officers, directors, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with: (i) Your access to or use of the Service; (ii) Your violation of these Terms; or (iii) Your infringement of any intellectual property or other right of any third party.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.

9. Hyperlinking, iFrames, and Content Liability

(These standard website clauses remain in effect.)

Content Liability: We are not responsible for any Client Data or content that You post or display through the Service. You agree to protect and defend Us against all claims arising from Your use of the Service or Your Client Data.

10. Miscellaneous

A. Entire Agreement

These Terms constitute the entire agreement between you and GrowthToolz regarding the Service, superseding any prior agreements.

B. Amendments

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of material changes by posting the new Terms on the website.
